Terms of service.
1. Service Overview
ML Design Studio offers LLC formation services through the Legal Launch package, which includes:
Business name availability check
Filing of LLC with the Texas Secretary of State
EIN application with the IRS
Custom Operating Agreement (non-legal template)
Digital Business Binder including next-step checklist
Services are limited to Texas-based filings unless otherwise agreed in writing.
2. Scope of Services
ML Design Studio is not a law firm and does not provide legal, tax, or financial advice. All documents and guidance provided are based on publicly available resources and intended for informational purposes only. Clients are encouraged to consult a licensed attorney or accountant for legal or tax-specific needs.
3. Client Responsibilities
Clients must provide accurate and complete information via the intake form. ML Design Studio is not responsible for delays or filing errors due to incomplete or incorrect information submitted by the client.
4. Processing Time
Once the client submits both the intake form and full payment, processing begins. Filing and EIN registration typically take 3–5 business days, depending on state and IRS processing times. Delays due to government processing are outside our control.
5. Refund Policy
Due to the custom and time-sensitive nature of this service:
No refunds will be issued once filing has begun.
If you cancel before filing begins, only the service fee is eligible for refund; the state filing fee is non-refundable once submitted.
6. Document Delivery
All final documents (LLC filing confirmation, EIN letter, Operating Agreement, and digital binder) will be delivered electronically to the email provided. It is the client’s responsibility to retain and safely store these documents.
7. Limited Liability
ML Design Studio is not liable for:
Rejected filings due to name conflicts not disclosed by the client
IRS delays or errors
Misuse or misinterpretation of the documents provided
8. Payment Terms
Full payment (including service fee and state filing fee) must be submitted before any filing begins. Late or incomplete payments will delay the process.
